Terms of Service

These Terms govern your use of the C-Bridge website, customer portal, cloud services and hardware (together, the “Services”) provided by MGC Technologies LLC (“MGC”, “we”). By using the Services or purchasing a product, you agree to them.

1. Accounts

You are responsible for the accuracy of your account information, for keeping credentials confidential, and for activity under your account. Notify us at info@cbridge.cloud of any unauthorized use.

2. Hardware and sample units

C-Bridge gateways and sample units are sold for evaluation and installation in building systems you are authorized to control. Sample units are provided for testing and are not a commitment to future supply, pricing or features. You are responsible for installing hardware in accordance with applicable electrical, building and radio regulations.

3. Subscriptions and payment

Paid plans (for example Remote Access and Site Feature) are billed annually through Stripe unless stated otherwise. Plans renew until cancelled; you can manage or cancel billing from the billing portal. Fees are non-refundable except where required by law or stated at purchase. Hardware orders are invoiced separately. We may change prices on notice before your next renewal.

4. Acceptable use

You agree not to:

• interfere with, probe or overload the Services or the remote-access relay;
• access gateways or networks you are not authorized to control;
• reverse engineer or circumvent licensing or security controls, except where law permits;
• use the Services for life-safety functions they are not designed or certified for.

5. Third-party services

C-Bridge interoperates with Casambi, BACnet systems and other third-party products and services. We do not control them and are not responsible for their availability, behavior or terms. Casambi is a trademark of its owner; C-Bridge is an independent product.

6. Availability and changes

We work to keep the Services available but do not guarantee uninterrupted operation. Local gateway functions continue to operate without internet access; cloud features depend on connectivity. We may modify features with reasonable notice where a change materially reduces a paid feature.

7. Intellectual property

MGC retains all rights in the Services, software and documentation. You receive a limited, non-exclusive, non-transferable right to use them under these Terms. You retain rights in your own data.

8. Warranty and liability

Except as stated in a written hardware warranty, the Services are provided “as is” without warranties of any kind. To the maximum extent permitted by law, MGC is not liable for indirect, incidental or consequential damages, and total liability for any claim is limited to the amount you paid us in the 12 months before the claim.

9. Termination

You may stop using the Services at any time. We may suspend access for breach of these Terms or non-payment. Sections that by nature should survive termination will survive.

10. Governing law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules.
